AI Terms

These AI Terms (“AI Terms”) are entered into between Circle Internet Services, Inc., dba, CircleCI (“CircleCI,” “our,” “us,” “we”), and your employer or the entity you represent, its Affiliates and Users, or, if that does not apply, you as an individual (each, “you”). Each of you and us is a “Party,” and collectively, we are the “Parties.” These AI Terms shall govern your access to our AI Features and supplement the Agreement you’ve entered with us. They are effective as of the date you Opt-In to AI Features (“Effective Date”), do not have to be signed to be binding, and will automatically expire upon the expiration or termination of, and in accordance with, the Agreement. The rights and obligations of these AI Terms which by their nature are intended to survive termination or expiration of these AI Terms will survive the same. Capitalized terms used but not defined in these AI Terms will have the meaning in the Agreement (or data privacy terms if applicable).

  1. Definitions

    1. “Agreement” means the online or a negotiated SaaS Agreement and any other documents entered into between the Parties governing your access to the Services.
    2. “AI Features” means one or more optional features or applications of the Services that we have created and make accessible to you that use, incorporate, rely upon, or interoperate with AI Technologies.
    3. “AI Provider” means a third-party providing AI Technologies that are used by, incorporated into, or otherwise relied upon by the AI Features.
    4. “AI Provider Technology Terms” means the then-current terms and conditions of an AI Provider which may include provisions for the processing and storage of any Input, Output and Your Data/Customer Data that may be transmitted or exchanged between such AI Provider’s AI Technology and the Services and includes AI Provider’s acceptable use and privacy policies as applicable.
    5. “AI Technology” means any artificial intelligence, machine learning, large language models, deep learning and/or other similar or successor technology platforms, including their algorithms, tooling and data models.
    6. “Input” means any data, software code, or other content or information that is provided by you to be processed by AI Features. Input is hereby added to the definition of “Your Data” or “Customer Data” in the Agreement. For clarity, Input does not include Usage Data as defined in the Agreement.
    7. “Output” means any data, software code, or other content or information that is generated and returned to you by AI Features based on Inputs. Output is hereby added to the definition of “Your Data” or “Customer Data” in the Agreement. For clarity, Output does not include Usage Data as defined in the Agreement.

  2. Scope

    1. AI Features may be developed by us and/or in partnership with AI Providers we engage, which we may, in our sole discretion, change from time to time. You are not required to access or use Al Features to access or use the Services. These AI Terms and your rights and access to Al Features are limited and may be terminated by us at any time for any reason.
    2. These AI Terms apply to any pre-release AI Features we make available to you. “Pre-release” means software, online services, and additional products and features that are not yet generally available, such as private preview, beta preview, public preview, early access, technical preview, or similar versions. We may change or discontinue pre-release AI Features at any time, for any reason, without notice to you, and we are not obligated to provide to you any technical support, maintenance, or updates for the pre-release AI Features.
    3. Some of our AI Features may provide you with the ability to connect your own AI Provider’s AI Technology to use with the Services. Your use of your AI Provider’s AI Technology is governed and controlled by the applicable AI Provider Technology Terms. We are not liable for your choice of AI Provider or such AI Provider’s AI Technology or AI Provider Technology Terms.
    4. In accordance with our Privacy Policy and other data privacy terms, you shall instruct us and AI Providers if Personal Data is processed through AI Features. We do not permit our AI Providers to use Your Data/Customer Data to train or improve their foundation or large language models, or for any purpose other than to provide AI Features.

  3. Restrictions

    1. You shall not violate the Prohibited Uses section of CircleCI’s Acceptable Use Policy. Your use of the AI Features is subject to these AI Terms and the AI Provider AI Technology Terms, as applicable. By accessing or using the AI Features, you accept the applicable AI Provider AI Technology Terms. If you do not agree to any of the AI Provider AI Technology Terms, you may not access or use the AI Features.

  4. Input and Output

    1. You may provide Input and receive Output from the Services. You are solely responsible for the accuracy, content and legality of all Input that you provide to the AI Features. You acknowledge and agree that CircleCI may submit Your Data/Customer Data as Input to AI Technologies to provide the AI Features to you.
    2. As between you and us, you (i) represent and warrant that you own or have obtained all necessary rights, approvals, and consents to provide your Input, and (ii) own any rights that may exist under applicable laws in the Output. Subject to the limited licenses granted herein, CircleCI acquires no right, title or interest from you in or to Output under these AI Terms or the Agreement.
    3. You acknowledge that due to the nature of AI Technology, Output generated by the AI Features for you may not be unique and other CircleCI customers or users may receive similar content or information generated by the AI Features. You agree that content and information generated by the AI Features for other CircleCI customers or users are not considered Output hereunder. You shall not pursue or maintain any intellectual property ownership claim against us or any third-party arising from or related to any Output.
    4. AI Features require the use of certain of Your Data/Customer Data, which may be aggregated or combined with data we have collected from our other customers and partners. You acknowledge and agree that we may process, store, and otherwise use Your Data/Customer Data to build, and improve existing and new versions of the Services and Al Features, unless you expressly opt out with written notice to us. You acknowledge and agree that CircleCI is under no obligation to keep, store, or maintain any Input or Output that has been processed by the AI Features.

  5. Disclaimers

    1. These AI Terms only apply to the AI Features provided within the Services. They do not apply to AI Technology provided by AI Providers or any other third-party services, of which all AI Technologies shall be considered Non-CircleCI Applications for the purposes of the Agreement. We and our licensors exclusively own all right, title, and interest in and to Al Features, including all associated Intellectual Property Rights.
    2. Output is generated based on Inputs and that CircleCI has no control over any Input or any AI Technology provided by AI Providers. AI Features may generate unreliable, insecure, inaccurate, or offensive Output. Accordingly, you assume all risks associated with your use of the AI Features and the Output, and you are solely responsible for reviewing all Output and exercising your judgment with respect to Output’s accuracy, completeness, truthfulness, timeliness, suitability, reliability, security, etc.
    3. The laws and regulations governing the use of AI Technology is rapidly evolving. CircleCI does not warrant or guarantee that your use of the AI Features or the Output will comply with applicable laws and regulations, or that future laws and regulations will not impact your use of the AI Features or the Output. You are solely responsible for ensuring that your use of the AI Features and the Output will comply with all applicable laws and regulations as they may change over time.
    4. WITHOUT LIMITING THE WARRANTY DISCLAIMERS SET FORTH IN THE AGREEMENT, THE AI FEATURES AND ALL OUTPUT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. CIRCLECI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT AND TITLE.
    5. We are not responsible for any act or omission of any AI Provider or the availability, accuracy, products, or services of any AI Provider’s AI Technology, including without limitation any AI Features that comprise or include AI Technology from our AI Providers.

  6. Other Terms

    We may, in our sole discretion, modify, or update these AI Terms from time to time (including any documentation referenced in these AI Terms) by posting a revised version on our website. The revised version will become effective on the day it is published, superseding the prior version. Your continued use of the Al Features after any such change constitutes your acceptance of any modifications to these AI Terms. Except as provided in these AI Terms, the Parties’ confidentiality and limitation of liability obligations under the Agreement extend to these AI Terms. If there is a conflict between these AI Terms and the Agreement and/or data privacy terms, these AI Terms shall control and govern access and use of AI Features only.
